EXECUTIVE SUMMARY
The Mary's Landing Neighborhood Association is requesting formal recognition from the City.
The Citizen Involvement Guidelines grant the City Council the authority to recognize new
Neighborhood Associations.
BACKGROUND
The proposed Mary's Landing Neighborhood Association (NA) boundary runs along the border
of West Linn to the south, up the Willamette River to the east, and along the borders of the
Glenmorrie and Skyland neighborhoods to the north and west (see below and Attachment 1,
Exhibit A).

This geographic area includes approximately 720 households and an estimated 1,230 residents.
The area includes two prominent homeowners' associations (HOAs), the Marylhurst HOA and
Marylhurst Place HOA, which are the HOAs for the Marylhurst and Marylhurst Place planned
residential developments, respectively. The proposed neighborhood association boundaries
also include the former Marylhurst University site, which is currently being improved with a
100-unit multifamily affordable housing development, as well as the Mary's Woods
development, which includes a continuing care retirement complex.
The Citizen Involvement Guidelines for Lake Oswego ("Guidelines") (see Attachment 11) state
that the Commission for Citizen Involvement will "make recommendations to the City Council
on the recognition of new neighborhood associations." [§D (11); pg. 5]. The neighborhood
association recognition criteria and procedures outlined in the Guidelines require boundaries
that are established by the City Council and bylaws that meet the minimum requirements

proposed by the City. [§C, pg. 10]. The Guidelines state that the City will recognize a
neighborhood association as representative of the neighborhood when the following criteria
have been met:
a. That well-publicized general neighborhood meetings have been held for the purpose of
information, organization, adoption of minimum bylaws, establishment of boundaries
and election of officers.
b. That names, addresses and phone numbers of officers and board members and
addresses of current membership be filed with the City and annually updated.
c. That the neighborhood association submits to the City Council evidence that they have
met the recognition and general criteria for neighborhood associations. [§C(3), pg. 11].
DISCUSSION
• The area covered within the proposed Mary's Landing NA boundary has never
previously been represented by a City-recognized NA. Residents want to gain access to
City grant programs, conduct emergency preparedness planning, and establish formal
communication with the City.
• Informational meetings were held on October 11 and November 18, 2023, after
identifying stakeholders and distributing newsletters to residents.
• The name "Mary's Landing" was chosen through a contest. The name honors the
historical significance of the arrival by boat of the twelve Sisters of the Holy Names of
Jesus and Mary, who founded Marylhurst University.
• A general membership meeting was held to establish the Mary's Landing NA and elect
officers on February 10, 2024.
• Mary's Landing NA has submitted documentation to the City to meet the criteria
outlined above, including a neighborhood association board roster (Attachment 4),
boundaries (Attachment 1, Exhibit A), and bylaws reviewed by City staff(Attachment 1,
Exhibit B).
• Acting as the Commission for Citizen Involvement, the Planning Commission at their
February 26, 2024 meeting found that the request met the criteria laid out in the
Community Involvement Guidelines. They voted 6 to 0 in favor of recommending
approval of the Mary's Landing NA to the City Council.
RECOMMENDATION
Staff finds that the Mary's Landing Neighborhood Association has met the criteria required for
recognition by the Lake Oswego Citizen Involvement Guidelines. Staff recommends that the City
Council approve Resolution 24-12 (Attachment 1) recognizing the Mary's Landing
Neighborhood Association and establishing its boundaries as depicted in Attachment 1, Exhibit
A.

RESOLUTION 24-12
A RESOLUTION OF THE LAKE OSWEGO CITY COUNCIL GRANTING RECOGNITION AS A
NEIGHBORHOOD ASSOCIATION TO THE MARY'S LANDING NEIGHBORHOOD ASSOCIATION.
WHEREAS, a well-publicized meeting of the Mary's Landing Neighborhood Association (NA)
was held on February 10, 2024, for the purpose of electing neighborhood association board
members, approving bylaws in accordance with the City's Citizen Involvement Guidelines, and
seeking recognition as a City of Lake Oswego neighborhood association; and
WHEREAS, the Mary's Landing NA has submitted to the City Council said bylaws, the names,
addresses and phone numbers of officers and board members and addresses of current
membership have been filed with the City as required; and
WHEREAS, the Mary's Landing NA has proposed its boundaries as the border of the Glenmorrie
and Skylands neighborhoods to the north and west, the Willamette River to the east, and the
boundary of the City of Lake Oswego to the south; and
WHEREAS, the Citizen Involvement Guidelines and the Mary's Landing NA designate the City
Council as the decision-maker for determining the neighborhood association boundaries, and the
Council finds the proposed boundaries meet the boundary criteria for a recognized neighborhood
association,
WHEREAS, on February 26, 2024, the Commission for Citizen Involvement met and
recommended the recognition of the Mary's Landing NA, having found that Mary's Landing NA
has met the criteria for recognition pursuant to the Citizen Involvement Guidelines for Lake
Oswego; and
BE IT RESOLVED by the Lake Oswego City Council that:
Section 1. Boundary. The Mary's Landing Neighborhood Association boundary map shall
be shown in Exhibit A until the boundaries may later be amended by resolution of this Council.
Section 2. Bylaws. The bylaws of the Mary's Landing Neighborhood Association attached
as Exhibit B are approved as in compliance with the criteria for a recognized neighborhood
association.
Section 3. Recognition. The Mary's Landing Neighborhood Association is hereby
recognized as an official Lake Oswego neighborhood association.
Section 4. Effective Date. This Resolution shall be effective immediately upon its adoption
by the City Council.
Considered and adopted at the regular meeting of the City Council of the City of Lake Oswego on
the 16th day of April, 2024.

MARY'S LANDING NEIGHBORHOOD ASSOCIATION BYLAWS
February 6, 2024
ARTICLE 1. NAME
The name of this organization shall be Mary's Landing Neighborhood Association,hereinafter called the"Association."
ARTICLE II . PURPOSE
The purpose of the Association is to provide a forum for the membership to discuss matters of common concern and to
represent the views of the members before appropriate public bodies.Matters of common concern include but are not
limited to:the livability of the neighborhood,city and region;participation in all phases of government processes with
special emphasis on planning and land use,e.g.,zoning,housing,emergency preparedness,community facilities, human
resources,social and recreational programs,traffic and transportation,and environmental quality;and ongoing
communication with appropriate public bodies.The Association may also undertake such activities as authorized for
neighborhood associations pursuant to the City of Lake Oswego's Citizen Involvement Guidelines.
ARTICLE III. ASSOCIATION BOUNDARY
The boundary of the Association shall include those portions of Lake Oswego as identified in Exhibit 1,Mary's Landing
Neighborhood Association Boundary Map,and as approved by the City of Lake Oswego.
ARTICLE IV. MEMBERSHIP
Section 1. Membership shall include the following persons residing or owning property or businesses located within the
Association boundary:
A. Residents who are eighteen years of age or older;
B. Owners of real property or improvements;
C. Representatives of nonprofit organizations;
D. Representatives of schools;and
E. Owners or managing agents of businesses.
Section 2. Only one voting representative is allowed per nonprofit,school or business. A resident who is also a property
owner is allowed one vote. Members shall be entitled to vote after their names and addresses have been properly
recorded on the Association's records,including member's sign-in roster at the Association's annual meeting as long as
they continue to meet the requirements for Membership in Article IV Section 1. Others in attendance have no right to
vote.
Section 3.There are no dues or fees for membership. The Association may seek voluntary contributions from members
and may conduct fundraising functions when the Board directs.
ARTICLE V. OFFICERS
Section 1. The officers of this Association shall be Chair,Vice Chair,and Secretary and such other officers as established
by resolution of the membership at an annual meeting.Officers shall be voting members and shall be elected
by the membership at the annual meeting.
Section 2. The duties of the officers shall be as follows:

a. The Chair presides at all meetings of the Association and of the Board of Directors(sometimes herein
"Board");is responsible for maintaining liaison with private or public organizations whose operations may
impact the neighborhood;provides information to the membership concerning pertinent activities of these
organizations; and performs such other duties as may he prescribed in these Bylaws or assigned to the Chair
by the Board of the Association.
b. The Vice Chair serves in the absence of the Chair;serves as chair of the Nominating Committee;serves as
Treasurer and shall perform such other duties as may be assigned by the Chair or the Board.
As Treasurer,the Vice Chair collects and receives all money contributed to the Association;deposits it in a
bank account or collective nonprofit bank account as directed by the Board;disperses the same only upon
order of the Board:presents statements to the Board at meetings and presents a report at the annual
Membership meeting.
c. The Secretary maintains records of Board and Membership meetings;is responsible for correspondence;
notifies members and the City of Lake Oswego's staff of Board and Membership meetings;provides the City
with required documentation;and performs other duties as may be assigned by the Chair or the Board.The
Secretary also signs,with the Chair,all contracts when so authorized by the Board:provides copies of all
minutes to the Lake Oswego Planning Department;and annually files the names,addresses and contact
information of Officers and all other members of the Board with the City.
ARTICLE VI. BOARD
Section 1. The Board shall consist of the Officers,and a minimum of two(2)and maximum of four(4)additional voting
members of the Association.Board members shall be elected annually by the voting membership.
Section 2. Meetings of the Board may be convened at the request of the Chairman or any two(2)members of the Board.
The Board shall meet at a minimum semiannually.
Section 3. The Board shall fill by majority-vote any mid-term vacancy of an officer or,at the Boards discretion,the
vacancy of another board member.The member or officer so appointed shall fill the office for the balance of
the unexpired term.
Section 4. The Board shall govern the affairs of the Association by reason of the authority of these Bylaws.Failure of a
member of the Board to uphold these Bylaws may cause his/her removal from the Board by a majority vote
of the Board.
Section 5. The Board shall take such action as necessary to comply with the Oregon Public Meetings Law(ORS 192.610
et seq.)for those items that the Association gives advice or recommendations to any governmental body,
Commission,or committee.
Section 6.The duties of the Board shall be to:
a. Transact business between Membership meetings and such other business as may be referred to by the
membership or by any of the committees.
h.Present a report of its activities at Membership meetings.
c.Establish arrangements,agendas and priorities for all meetings of the Membership.
d.Consider proposals and grievances as provided in Article XIII,Section 3.
e. Establish and maintain a continuing liaison between the Association and appropriate officials and
departments of the City of Lake Oswego and other appropriate government bodies.
f.Discuss at each Board meeting any materials the City of Lake Oswego has provided.
g. Inform the membership and solicit their opinions on any issue that,in the opinion of a majority of the
Board,is material or significantly affects the neighborhood,before adopting any policy or
recommendation.

h. Make all policy decisions public through Association newsletters and emails,and available to the
media.
i. Seek views of people affected by proposed policies or actions and adopt positions or stands for the
Association and present majority and minority reports before public and governmental bodies.Positions
adopted by the Board may be revised by the membership at general Membership meetings.
j. Inform the City of Lake Oswego of the date,place and time of each Board of Directors meeting,and of
the issues addressed at such meetings.
k. Recommend action,policy or comprehensive plan amendments to the City of Lake Oswego,or its
agencies,on any matter affecting the livability of the neighborhood.
1.Work with the City to maintain a list of mailing addresses of members and potential members within the
boundary of the Association. In addition,property owners not residing within the association boundary will be
placed on the mailing list upon request.This list will be the official list for contacting Association members by
U.S. mail.
m.Communicate with other neighborhood associations regarding mutual concerns.
n. Appoint a Nominating Committee two months prior to the annual election,with additional nominations
accepted from the floor.
o. Provide transparency of all Board activity.This shall include full disclosure,to the Board,of any Board
member's participation in organizations or meetings that pertain to neighborhood issues or concerns.
p. Inform the City of Lake Oswego,by assuring that the Association undertakes the following: forwarding
written notices,meeting minutes,list of officers and board members and anticipated schedule of board
meetings to the City Planning Commission and City Community Development Section Director
annually.
q.Help other new neighborhood associations trying to develop or be recognized.
ARTICLE VII. ELECTIONS
Officers of the Association and members of the Board of the Association shall be elected by a majority vote at an annual
Meeting on a date selected by the Board. Elected officers and directors shall assume office at the end of the election
meeting and shall serve for one year or until their successors are duly elected or appointed.
ARTICLE VIII. MEETINGS
Section 1.Membership meetings are held at least once a year at a time and place fixed by the Board.
Section 2. Written notice of the annual Membership meeting and election of members of the Board shall be distributed
to all members of the Association,City Planning Commission and City Staff. Written notice may be given
personally or by USPS mail,or email.
Section 3.The Board shall call a special Membership meeting within fifteen(15)days if such a meeting is requested in
writing by at least twenty(20)members of the Association. No USPS mail notification is required for a
special Membership meeting,but the Board shall make every effort to inform the Membership in a timely
manner by posting signs,sending email,and by other means as they are able.
Section 4.A quorum for a Membership meeting consists of those members in attendance in person.A quorum for a
meeting of the Board shall be a majority of the Board. Except as provided in Article XI,a determination of
any question or issue at a Membership meeting shall be by a majority of those voting on the question or
issue.

ARTICLE IX. COMMITTEES
Committees shall be appointed by the Board as needed and disbanded when no longer needed.
ARTICLE X. PARLIAMENTARY GOVERNMENT
All meetings shall he held in a business-like and respectful manner and according to recognized parliamentary
procedures of Roberts Rules of Order;however_fairness and common sense shall prevail over the technicalities of
Robert's Rules in each instance.
ARTICLE XI. AMENDMENTS
These Bylaws may be amended at any regular meeting of the Association by a two-thirds(2/3)favorable vote of the
members present in person or by prosy and ti oting on the proposed amendment.A copy of the proposed amendment must
be sent to each member with the notice of the meeting.No provision of the Bylaw s required by the City of Lake
Oswego's Citizen involvement Guidelines may he amended without the written consent of the City of Lake Osv ego.
ARTICLE XII. COMPENSATION
The Officers and members of the Board are not entitled to receive any compensation related to work for the
Association,except fir reimbursement of expenses authorized by the Board.
ARTICLE XIII SAVING CLAUSE
If any clause,sentence,paragraph, section,article or portion of these Bylaws for any reason shall be adjudged invalid by
a court having jurisdiction,such judgment shall not affect, impair or invalidate the remainder of these Bylaws,but shall
be confined in its operation to that part directly involved in the controversy.

Dear Erik,
The citizens of southeast Lake Oswego would like to make a formal application for recognition under the
City's Neighborhood Association Program.As one of the last areas of Lake Oswego to form a
neighborhood association,we are motivated by the Fire Department's considerable efforts to prepare us
for a major disaster during which our area may need to be self-sufficient for an extended period of time.
We also recognize the considerable benefits that accrue to an official two-way communication channel
between the city and the citizens of our neighborhood.We will soon have even more citizens in the area
when the housing project of Mercy Greenbrae at Marylhurst begins to accept new residents.
To this end we held a well-publicized meeting on Saturday, February 10, 2024,to vote on the various
items that are now being submitted to you for consideration.
• Minutes of the February 10, 2024, meeting where we voted on the name of the association,the
boundary,the bylaws, and a board of directors.
• A copy of the bylaws signed by the elected chair and secretary.
• A roster with contact information for the five board members.
• An updated inventory of mailing addresses within our boundary as there were gaps with the
mailing from the city. It was followed up by hand-delivered cards which enable us to provide you
with this update.

MINUTES OF THE MARY'S LANDING NEIGHBORHOOD ASSOCIATION ORGANIZING MEETING
Conducted on February 10, 2024, at Nathman Hall, 17530 Provost St., Lake Oswego OR 97034
There were 70 registered voters attending the meeting including a representative of the largest property
owner, representatives of the two largest non-profits within the boundary, and two representatives from
the Marylhurst HOA Board. The meeting was called to order by Carole White at 3:18 PM.
After recognition of the volunteers who have worked on this project, a short power point presentation
was made.The presentation's purpose was to remind people of the purpose of a neighborhood
association (NA) as well as the emergency preparedness reasons for forming it at this time. It also
included an overview of what actions had been taken to date and the timeline for city council approval.
Time was then allowed for questions from the floor, one of which included a discussion of the boundary.
The boundary runs along our southern border with West Linn,then north along the Willamette River,
until it turns west at Glenmorrie NA. It then proceeds west and south along Skyland NA and
unincorporated Clackamas County until it reconnects with West Linn. Thus, it includes both HOA's on the
west side of highway 43 and the entire property owned by the Sisters of the Holy Name of Jesus and
Mary(SNJM)on the east side of the highway.
We then proceeded to the voting portion of the meeting.
Robina Brown moved, and Walt Knapp seconded a motion to "form a neighborhood association that will

members. Residents from the Marylhurst HOA were encouraged to step forward but chose to consider it

majority. There were no nays.Then Bob Lawton moved, and Walt Knapp seconded a motion to cast a
unanimous ballot for the 5 candidates. The motion passed by majority vote.There were no nays.

Thank you for your letter and interest in forming a new neighborhood association (NA) in the
Mary's Woods area —the City of Lake Oswego hasn't seen a new NA form in quite some time,
and it's exciting to see your efforts getting off the ground.
In your letter, you posed the following question:
In an earlier email you indicated that the first step in forming a new neighborhood
association here in SE Lake Oswego is to hold a "well publicized meeting."My question is
to whom should it be publicized?
I would first like to note that my statement regarding a "well-publicized" meeting was referring
to the requirements of Oregon Statewide Planning Goal 1 —Citizen Involvement and the City of
Lake Oswego Citizen Involvement Guidelines ("Guidelines"). Here is the relevant language from
the Guidelines:
3. Procedure for Recognition: The City will recognize a neighborhood association as a
representative spokesman in an advisory capacity when the following criteria are met:
a. That well-publicized general neighborhood meetings have been held for the
purpose of information, organization, adoption of minimum by-laws,
establishment of boundaries and election of officers... (CIG, pg. 11, C *3.)
Based on this statement, the City Attorney's Office concluded that a minimum of two well-
publicized meetings should be held to satisfy this requirement, though it is possible that more
than two meetings will be necessary to adopt minimum bylaws, establish boundaries, elect
officers, etc.
Regarding your question of who you should look to connect with in publicizing these meetings,
there are criteria in the Guidelines that address who NA membership must be open to in the
section about bylaws:

2. By-laws: Include the minimum requirements proposed by the City(see Appendix C).
These include, but are not limited to: no charge for membership, membership open to
residents, property owners, businesses, and representatives of nonprofit organizations
located within the neighborhood boundaries and an outline for an overall association
structure. (CIG, pg. 10, • Recognition Criteria and Procedures, 2).
Beyond these criteria, there is no simple or straightforward answer as to what constitutes a
well-publicized meeting. Ultimately, the Lake Oswego Planning Commission (PC) — in their
capacity as the Commission for Citizen Involvement (CCI) — has to make the finding that the
meetings were sufficiently well-publicized and therefore meet the criteria in the Guidelines.
I strongly recommend that you go to the PC/CCI for guidance on the proposed engagement plan
for your effort to form an NA, including the number of meetings, the communication tools you
intend to use to publicize the meetings, to which groups, and so on. By putting it before the
PC/CCI, on an agenda, there would be a chance for others in the proposed area to contribute
their thoughts on what would be well-publicized.
I would be happy to work with you —and anyone else you'd like to join us for the meeting—to
schedule a PC/CCI agenda item at a time that works with your schedule. The PC regularly meets
on the 2nd and 4th Mondays of each month at 6:30 p.m. at City Hall in the Council Chamber
(though this is subject to change).

it be publicized? Clearly this includes the homeowners, residents of Mary's Woods, and the
sisters of SNJM who reside on the former college campus. What about businesses and schools?
We have a post office, two public schools, and several businesses.
The future residents of our working-class housing neighborhood would, at this stage, be
represented by Mercy Housing Northwest. I would like to get our proposal to the City Council by
February before the newest residents begin moving in.That gives us a target meeting date of
early October.
At this stage I have contacted representatives of the residential communities affected by this
proposal. By copying this letter, I am keeping them in the loop. We should start our planning
meetings in late July and early August. For an event in October, we need to start publicity in
September. Your earliest response is appreciated.

Chair Diana Moreno called the meeting to order at approximately 6:30 p.m. in the Council Chamber of
City Hall, 380 A Avenue, Lake Oswego, OR 97034.

5.1 Community Development Code 2023 Annual Amendments—(LU 23-0036)
On February 12, 2024,the Planning Commission made a preliminary recommendation that the City
Council approve the proposed amendments and directed staff to return with the draft Findings,
Conclusions, and Order. Before a vote, the Commission was asked to consider whether to reopen the
public hearing to hear from a member of the public who had signed up but was unable to testify.The
staff coordinator was Ellen Davis, Senior Planner.
The individual who was interested in testifying was satisfied with the Planning Commission's
recommendation and no longer wanted to provide testimony.
Commissioner Stewart moved to approve the Findings, Conclusions, and Order for
LU 23-0036, as written, recommending that City Council approve the proposed amendments.
Commissioner Mitchell seconded the motion and it passed 5:1. Commissioner Rigby voted no.

7.1 Mary's Landing Neighborhood—Request for City Recognition (PP 23-0008)
The Commission considered a request from the proposed Mary's Landing Neighborhood Association to
become a City-recognized neighborhood association.The Commission for Citizen Involvement was asked
to make an advisory recommendation to City Council on this matter. Staff coordinator was Erik Olson,
Long Range Planning Manager.
Commissioner Rigby moved to approve Mary's Landing Neighborhood Association's request,
recommending that City Council approve the proposed request. Commissioner Stewart seconded the
motion and it passed 6:0.
6. WORK SESSION
6.1 Planning Commission/Commission for Citizen Involvement 2024 Work Plan—Work Session#1
The Commission reviewed and provided direction on a preliminary work plan to support relevant 2024
City Council Goals and Initiatives. Staff coordinator was Erik Olson, Long Range Planning Manager.
Action Items:
• Commissioner Schenone requested that the Commission collaborate with other
Departments/boards and commissions.
o Work with the Transportation Advisory Board to implement quiet rail.
• Commissioner Schenone requested that the Commission to involved in forest/tree-related items.
• Commissioner Schenone requested to work to improve street and sidewalk accessibility for
children and those with limited mobility.
• Commissioner Schenone requested that the Commission work on storm-related power outages,
underground power phasing over time, and power grid strategizing.
• Commissioner Naujock requested that the Commission work on code amendments to establish a
variance pathway within the West Lake Grove Design District.
7. OTHER BUSINESS
The Commission was provided with feedback and key topics discussed at the mayor's round table
meeting.
8. SCHEDULE REVIEW
Mr. Olson reviewed the schedule.
• March 11: meeting canceled, no scheduled items.
• April 2: Commissioners are encouraged to attend the joint City Council Study Session.
• Staff will revise the PC Forecast to reflect changes as discussed and distribute.
9. ADJOURNMENT
There being no further business, Chair Moreno adjourned the meeting at 7:35 p.m.
